Terms of Service

Effective Date: 12th Dec 2025

These Terms of Service (“Terms”) govern your use of the website https://chatloop.io (the “Site”) and the Chatloop customer engagement platform, including AI chat, multi-channel messaging, email, calendar booking and hotel booking features (the “Service”). Chatloop.io is a trading name of Prspctv Ltd, a company registered in England and Wales (company number 12146177), with its registered office at 128 City Road, London, United Kingdom, EC1V 2NX  (“Chatloop”, “we”, “our” or “us”). By accessing or using our Site or Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Site and Service, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, do not access or use the Site or Service.

2. Changes to the Terms

We reserve the right to update or change these Terms at any time. All changes will be posted on this page with an updated “Effective Date.” Your continued use of the Site or Service after any such changes constitutes your acceptance of the new Terms.

3. Account Registration

To use our chatbot service, you may be required to sign up for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4. Payment and Billing

Payments for the Service are processed via Stripe. ChatLoop.io does not handle or store any payment details. You are solely responsible for ensuring that payment information is accurate and up to date. If you have any issues with billing, please contact Stripe directly.

5. Use of the Service

You agree to use the Service in accordance with all applicable laws and regulations. You will not:

  • Engage in any activity that interferes with or disrupts the Service or servers.
  • Use the Service for any unlawful, abusive, or fraudulent activity.
  • Attempt to gain unauthorized access to our systems or networks.
6. Email and Messaging Acceptable Use

The Service allows you to send emails and messages to your own customers, guests and contacts (“Recipients”). You are responsible for all messages sent from your account and you must comply with all applicable laws, including the UK GDPR, the Privacy and Electronic Communications Regulations (PECR), the EU GDPR, and the US CAN-SPAM Act where applicable.

You agree that you will:
– Only send messages to Recipients who have interacted with your business (for example, by making a booking, placing an order, or starting a conversation) or who have given clear, recorded consent to receive marketing from you.
– Only send marketing messages to Recipients who have opted in, and keep records of that consent.
– Include a working unsubscribe link in every marketing email and honour unsubscribe requests immediately. The Service adds one-click unsubscribe headers to marketing emails automatically, and you must not remove or obscure them.
– Provide accurate sender information, including your business name and a valid postal address, in every marketing email.

You must not:
– Send unsolicited bulk email (“spam”) or cold outreach to people who have not interacted with your business.
– Upload, import or send to purchased, rented, borrowed, shared or scraped contact lists, or lists collected without consent.
– Use misleading subject lines, sender names or content, or send phishing, malware or fraudulent content.
– Attempt to mail addresses that have previously bounced, complained or unsubscribed.

When you import contacts into the Service, you confirm that each contact was collected lawfully and with any consent required for the messages you intend to send.

7. Sending Domains and White-Label Email

Emails you send to your Recipients through the Service are white-labelled and sent in your business’s name. To send from your own domain, you must verify ownership of that domain by adding the DNS records (including DKIM, SPF/custom MAIL FROM and DMARC records) that we provide. We will not send email from any domain that has not been verified.

You are the sender of record for all emails sent from your domain through the Service and are responsible for their content and for the consent of the Recipients.

8. Sending Limits, Monitoring and Suspension

To protect deliverability for all customers, we monitor bounce rates, spam complaint rates and unsubscribe rates for each account. Addresses that hard-bounce, complain or unsubscribe are added automatically to a suppression list and will not be mailed again.

We may, without prior notice:
– Apply sending limits to new accounts or domains and increase them gradually.
– Pause marketing or bulk sending from your account if your bounce rate or complaint rate exceeds our thresholds, or if we receive abuse reports about your messages.
– Suspend or terminate your sending, or your account, for any breach of Sections 6 or 7.

Transactional messages (such as booking confirmations and reminders) may continue while marketing sending is paused, at our discretion.

9. Termination of Service

We may suspend or terminate your access to the Service at our sole discretion if you violate these Terms or for any other reason. You may also terminate your use of the Service at any time by contacting support.

10. Limitation of Liability

ChatLoop.io is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Site or Service. Our total liability will not exceed the amount you paid for the Service during the 12 months prior to the incident that gave rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ChatLoop.io and its employees, contractors, and affiliates from any claims, losses, or damages arising from your use of the Site or Service or any violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts in the United Kingdom.
